- Analytics and performance reporting
- Email strategy consulting
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete information as requested
- Maintain the confidentiality of any account credentials
- Comply with all applicable laws and regulations
- Obtain proper consent before sending marketing emails
- Ensure your email lists comply with CAN-SPAM, GDPR, and other applicable regulations
- Provide content and materials in a timely manner
4. Payment Terms
Payment terms will be specified in your service agreement. Generally:
- Monthly retainers are due in advance
- Project fees may require a deposit before work begins
- Late payments may incur additional fees
- All fees are non-refundable unless otherwise stated
5. Intellectual Property
Unless otherwise agreed in writing:
- Custom email templates created for you become your property upon full payment
- We retain ownership of our proprietary tools, processes, and methodologies
- You retain ownership of your content, branding, and subscriber data
- We may use anonymized, aggregated data for service improvement
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This includes:
- Business strategies and plans
- Subscriber lists and customer data
- Pricing and financial information
- Proprietary processes and methodologies
7. Service Level Commitments
We strive to provide high-quality services. While we cannot guarantee specific results, we commit to:
- Professional and timely service delivery
- Clear communication regarding project timelines
- Regular reporting on campaign performance
- Prompt response to inquiries during business hours
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for services in the 12 months preceding any claim
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for email deliverability issues caused by third-party platforms
- We are not liable for results of client-provided content or decisions
9. Termination
Either party may terminate the service agreement:
- For cause, with 30 days written notice
- Immediately for material breach that remains uncured after written notice
- As otherwise specified in your service agreement
Upon termination, outstanding fees remain due and payable.
10. Indemnification
You agree to indemnify and hold EMAILS THAT SELL LLC harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Content you provide
- Violation of these Terms
- Violation of any rights of third parties
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Continued use of our services after such changes constitutes acceptance of the new Terms.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with any service agreement, constitute the entire agreement between you and EMAILS THAT SELL LLC regarding the use of our services.
